This First Amendment, dated, for reference purposes only, this day of , 2001, between the COUNTY OF SAN MATEO, a political subdivision of the State of California "Landlord", and KEET S. NERHAN, "Tenant", who mutually agree as follows:

WHEREAS, on February 23, 1999 this Board of Supervisors adopted Resolution No. 62582, in which Landlord leased to Tenant certain unimproved property for the exclusive purpose of short term parking of vehicles in the unincorporated area of the County of San Mateo, California; and

WHEREAS, it is now the mutual desire of the parties to amend that agreement,

NOW, THEREFORE IN CONSIDERATION OF THE PARTIES ONGOING RELATIONSHIP THE PARTIES AGREE THAT LEASE NO. 5245, DATED FEBRUARY 23, 1999, IS AMENDED AS FOLLOWS:

1. Section 4 (TERM) is hereby amended to extend the term for three (3) additional years by changing the date on which the agreement will expire from August 31, 2001 to August 31, 2004.

2. Commencing on September 1, 2001 Section 5 (RENT) is hereby amended to increase the current monthly rent from $275.00 per month to $288 per month. The monthly rent shall be increased by five (5) percent each year thereafter on the anniversary date of the Lease. The monthly rent is as follows:

3. A new section (Section number 31) shall be added to the agreement as follows:

Non-Discrimination.

A. Contractor shall comply with Section 504 of the Rehabilitation Act of 1973,which provides that no otherwise qualified handicapped individual shall, solely by reason of a disability, be excluded from the participation in, be denied the benefits of, or be subjected to discrimination in the performance of this contract.

B. No person shall, on the grounds of race, color, religion, ancestry, sex, age (over 40), national origin, medical condition (cancer), physical or mental disability, sexual orientation, pregnancy, childbirth or related medical condition, marital status, or political affiliation be denied any benefits or subject to discrimination under this agreement.

C. Contractor shall ensure equal employment opportunity based on objective standards of recruitment, classification, selection, promotion, compensation, performance evaluation, and management relations for all employees under this agreement. Contractor's equal employment policies shall be made available to County of San Mateo upon request.

D. With respect to the provision of employee benefits, Contractor shall comply with the County Ordinance which prohibits contractors from discriminating in the provision of employee benefits between an employee with a domestic partner and an employee with a spouse.

Except as set forth in this First Amendment, all the other provisions of the Agreement shall remain unchanged and in full force and effect.
