Recommendation |
Adopt a resolution authorizing the San Mateo Medical Center Board of Directors to amend its membership number and qualifications to include the addition of: |

1) |
One (1) member who shall be the Chief Executive Officer of the Hospital and Clinics and who shall have full voting privileges; and |
|
|
2) |
One (1) member who shall be a public member, selected by the Board of Supervisors and who shall have full voting privileges. |

Background |
The current Hospital Board of Director bylaws contain a governance structure which includes eight Board members. One of the members is the CEO of the Hospital who maintains ex-officio status only. In May 2002, the Hospital Board amended their bylaws in a number of areas including Board membership. With regard to Board membership, the Hospital Board acted to make the Hospital CEO a voting member and to add a member of the public to the Board, giving the Hospital Board a total of nine voting members. |

Discussion |
The Hospital Board decided to make the CEO a voting member of the Board in order to provide the CEO with decision-making authority over Hospital policy and operations. The Hospital Board added a public member in order to increase public participation. This member will benefit the hospital in that he/she will broaden the perspective of the Hospital Board, thereby increasing the health and welfare to the community. |

The proposed amendment keeps the commitment to ensure basic health and safety for all, and goal number 7 for residents to have access to healthcare and preventive care. |

There is no fiscal impact to the County. |
