RESOLUTION AUTHORIZING THE WAIVER OF THE REQUEST FOR PROPOSAL (RFP) PROCESS AND THE EXECUTION OF A SECOND AMENDMENT TO THE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND SYBASE, INC.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, an Agreement with Sybase, Inc. was approved by the County Manager on September 17, 2001, for software support services; and

WHEREAS, a First Amendment was approved by County Manager on July 8, 2002, for upgrading and renewal of software support services for an additional year; and

WHEREAS, the parties now wish to further amend this Agreement to continue software support services and extend the term of the Agreement for an additional year; and

WHEREAS, the best interest of the County of San Mateo would be served by waiver of the Request for Proposal process since Sybase is a sole source provider.

WHEREAS, this Board has been presented with a form of such Second Amendment to the Agreement and said Board has examined and approved it as to both form and content and desires to enter into the Agreement.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors is hereby authorized and directed to execute the Second Amendment to the Agreement for and on behalf of the County of San Mateo; and the Clerk of this Board shall attest his signature thereto.

BE IT FURTHER ORDERED AND DETERMINED, that the Request for Proposal process is hereby waived.
