BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION AUTHORIZING THE WAIVER OF REQUEST FOR PROPOSAL PROCESS AND THE EXECUTION OF A SECOND AMENDMENT TO THE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND STELLENT, INC.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, an Agreement with Stellent, Inc. was executed by the Director of Human Services Agency on January 25, 2002 for software support services; and

 

WHEREAS, a First Amendment was executed by the County Manager on January 15, 2003, for upgrading and renewal of software support services for an additional year; and

 

WHEREAS, the parties now wish to further amend this Agreement to purchase additional software, licenses and professional services; and

WHEREAS, the best interest of the County of San Mateo would be served by waiver of the Request for Proposal process since Stellent, Inc. is a sole source provider of the services needed by the County for this project.

 

WHEREAS, there has now been presented to this Board of Supervisors for its consideration and acceptance a Second Amendment to the Agreement, reference to which is hereby made for further particulars, whereby Stellent, Inc. has agreed to provide additional software, licenses and professional services and extend the term of the Agreement; and

 

WHEREAS, this Board has been presented with a form of such Second Amendment to the Agreement and said Board has examined and approved it as to both form and content and desires to enter into the Agreement.

 

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of the Board of Supervisors is hereby authorized and directed to execute the Second Amendment to the Agreement for and on behalf of the County of San Mateo; and the Clerk of this Board shall attest his signature thereto.

 

BE IT FURTHER ORDERED AND DETERMINED, that the Request for Proposal process is hereby waived.
