AMENDMENT TO THE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND
RICHARD WOO, D.P.M.

 

THIS AGREEMENT, entered into this ______ day of _______________________, 2003, by and between the COUNTY OF SAN MATEO (hereinafter called "County") and RICHARD WOO, D.P.M. (hereinafter called "Contractor"),

 

W I T N E S S E T H:

 

WHEREAS, on April 16, 2002, the parties hereto entered into an agreement (hereinafter referred to as the "Original Agreement") for the furnishing of certain services by Contractor to County as set forth in that Original Agreement; and

 

WHEREAS, it is now the mutual desire and intent of the parties hereto to amend and clarify that Original Agreement;

 
 

NOW, THEREFORE, IT IS HEREBY AGREED between the parties that the Original Agreement is amended as follows:

 
 

1. 1

All references to San Mateo County Health Center or to San Mateo County General Hospital will be amended to read "San Mateo Medical Center.

 
 

2.

Schedule A of the Original Agreement is hereby amended to read as follows:

 
 

"SCHEDULE A

SERVICES

   

I.

Contractor shall provide the following services:

 
   

A.

In consideration of the payments described in Schedule B, Contractor shall provide as needed podiatry services to patients at the Long Term Care Unit in San Mateo Medical Center (SMMC).

 
     

1.

Contractor shall provide podiatric services for all residents at Long Term Care.

 
     

2.

Provide podiatric treatment and care in a timely manner in conformity with community standards.

 
     

3.

Prior to course of treatment, the resident will be fully apprised of the nature of the assessment, the treatment, and cost of the treatment and the proper consent obtained.

 
     

4.

All treatments shall be done with the knowledge and consent of the residents' attending physician.

 
     

5.

Treatment of residents by Contractor shall be covered by Medi-Cal or a fee-for- service basis. In either instance, Contractor shall process all claims and collect payment.

 
     

6.

Contractor shall have a podiatrist, who is properly credentialed with SMMC, on-call for emergencies 24 hours per day.

 
     

7.

County agrees to cooperate, where applicable, in the utilization of the resident's share of cost to pay for required treatment.

 
   

B.

In consideration of the payments described in Schedule B, Contractor shall provide outpatient podiatric medical services at 39th Avenue Medical/Specialty Clinics and other outpatient clinic sites as scheduled.

 
     

1.

Contractor shall provide two (2) half-day clinics per week at 39th Avenue

Medical/Specialty Clinics.

 
     

2.

Contractor shall provide one (1) half-day clinic at an outlying outpatient clinic to be determined by schedule.

 
     

3.

Contractor and County shall mutually agree upon Contractor's schedule.

 
     

4.

Contractor agrees to provide replacement podiatrist for extended leaves of Absence. Replacement podiatrists must comply with the following requirements:

 
     

a.

must be licensed to practice in the State of California

 
     

b.

must obtain temporary staff privileges

 
     

c.

must be paid by Contractor directly, unless other arrangements with County have been made in advance.

 
   

C.

Proof of competency is maintained and will be provided to the County upon request. Service utilization and QI information shall be provided to administration.

 
   

D.

Contractor shall apprise the Administrator of recommendations, plans for implementation, and the continuing assessment of programs offered.

 
   

E.

Podiatrist shall be credentialed and an approved member in good standing of the San Mateo Medical Center Medical Staff.

 
   

II.

Effective April 1, 2003, Contractor shall also provide the following services:

 
   

A.

In Consideration of the payments described in Schedule B, Contractor shall provide professional surgical services consistent with his area of specialization. Patients will be referred to Contractor's private offices for services only when these services cannot be provided at San Mateo Medical Center (SMMC)."

 
 

4.

Schedule B of the Original Agreement is hereby amended to read as follows:

 
 

"SCHEDULE B

 

PAYMENTS

 
   

I.

Long Term Care

 
   

In consideration of the services described in Schedule A, County shall pay Contractor for initial and annual assessments at the Medi-Cal rate if not covered by Medi-Cal or other third party reimbursement.

 
   

II.

Outpatient Podiatry

 
     

1.

County shall pay Contractor a fixed rate of FIFTY THOUSAND FORTY DOLLARS ($50,040) per year to be paid in twelve monthly installments of $4,170.

 
   

2.

Contractor shall be eligible for an annual performance incentive of up to 10% of his/her annual compensation. The maximum amount per year shall not exceed $5,004 . Payment of the performance incentive shall be made in accordance with Schedule D of this Agreement.

 
   

II.

Surgery

 
     

1.

Contractor shall bill all payors including Medi-Cal, Medicare, commercial insurance or "self pay" patients. Contractor shall claim against third party payor for payment and county shall bear no financial responsibility for such patients. In the event that a medically indigent patient referred to Contractor is subsequently found to be eligible for third party payment or has a pending Medi-Cal reimbursement and County has already made a payment on behalf of this patient, reimbursement must be made by Contractor to County within 45 days of notification to Contractor.

 
     

2.

County shall pay Contractor 100% of the San Mateo County Medicare Part B Participating Fee Schedule for the care of medically indigent patients. Contractor shall bill per HCFA coding guidelines.

 
     

3.

County shall pay Contractor a maximum rate for surgical services of up to TWENTY-FIVE THOUSAND DOLLARS ($25,000) annually."

 
 
 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that:

 
 

1.

These amendments are hereby incorporated and made a part of the Original Agreement and subject to all provisions therein.

 
 

2.

All provisions of the Original Agreement, including all references to audit and fiscal management requirements unless otherwise amended hereinabove, shall be binding on all the parties hereto.

 
 

3.

All provisions of the Original Agreement, including all monitoring and evaluation requirements, shall be applicable to all amendments herein.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that the Agreement of April 16, 2002, be amended accordingly.
