RESOLUTION 1) AUTHORIZING EXECUTION OF SECOND AMENDMENTS TO THE AGREEMENTS WITH QUEST DIAGNOSTICS AND UNILAB CORPORATION 2) APPROVING A WAIVER OF THE EQUAL BENEFITS COMPLIANCE AND 3) AUTHORIZING EXECUTION OF AN AGREEMENT WITH UNILAB CORPORATION NOW A PART OF QUEST DIAGNOSTICS, INC.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance amendments to two agreements, reference to which are hereby made for further particulars, whereby Quest Diagnostics and Unilab Corporation shall process laboratory specimens referred by San Mateo Medical Center; and

WHEREAS, on July 25, 2002, your Board approved, collectively by single resolution, agreements with Quest Diagnostics and Unilab Corporation, which were subsequently amended to increase the maximum amount to $944,000; and

WHEREAS, it is necessary to increase the maximum amount of the agreements by $167,000 to a maximum of $1,111,000; and

WHEREAS, it is necessary for San Mateo Medical Center (SMMC) to contract with independent laboratories to perform lab tests which are not performed at SMMC because of the specialized and expensive equipment required; and

WHEREAS, this Board has been presented with a request to waive the Equal Benefits Compliance for Unilab Corporation, now a part of Quest Diagnostics, Inc.; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which are hereby made for further particulars, whereby Unilab Corporation, now a part of Quest Diagnostics, shall process laboratory specimens referred by San Mateo Medical Center; and

WHEREAS, this Board has been presented with a form of the Amendments to the Agreements, a request to waive the equal benefits compliance, and a form of the Agreement and has examined and approved them as to both form and content and desires to enter into the Amendments to the Agreements and into the Agreement:

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to execute said Amendments to the Agreements, approve a waiver of the equal benefits compliance and execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.
