AMENDMENT TO THE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO AND
THE REGENTS OF THE UNIVERSITY OF CALIFORNIA

FOR PLASTIC SURGERY SERVICES

THIS AGREEMENT, entered into this ______ day of _______________________, 2003, by and between the COUNTY OF SAN MATEO, San Mateo Medical Center, (hereinafter called "County") and REGENTS OF THE UNIVERSITY OF CALIFORNIA (hereinafter called "Contractor"),

W I T N E S S E T H:

WHEREAS, on January 28, 2003, the parties hereto entered into an agreement (hereinafter referred to as the "Original Agreement") for the furnishing of certain services by Contractor to County as set forth in that Original Agreement; and

WHEREAS, it is now the mutual desire and intent of the parties hereto to amend and clarify that Original Agreement;

NOW, THEREFORE, IT IS HEREBY AGREED between the parties that the Original Agreement is amended as follows:

1.

All references to San Mateo County Health Center are hereby amended to read "San Mateo Medical Center".

2.

Schedule B, Payments, of the Original Agreement is hereby amended to read as follows:

"SCHEDULE B - Payments

1.

Contractor shall be paid a fixed rate of ONE HUNDRED EIGHT THOUSAND SEVEN HUNDRED DOLLARS ($108,700) per year to be paid in twelve monthly installments.

2.

Additionally, Contractor will be paid, upon presentation of the relevant documentation and invoice, TWO HUNDRED DOLLARS ($200) per inpatient encounter, not to exceed 25 such encounters per year. One inpatient encounter is defined as an evaluation of any inpatient in one day. If inpatient encounters exceed 25 in a single fiscal year, Schedule B may be negotiated by mutual agreement.

3.

For emergency, on-call encounters exceeding 12 encounters per year, Contractor will be paid at the rate of $600 per emergency, on-call encounter, not to exceed $21,600 per year.

4.

Total payment for services under this agreement will not exceed ONE HUNDRED

THIRTY-FIVE THOUSAND THREE HUNDRED DOLLARS ($135,300)."

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that:

1.

These amendments are hereby incorporated and made a part of the Original Agreement and subject to all provisions therein.

2.

All provisions of the Original Agreement, including all references to audit and fiscal management requirements unless otherwise amended hereinabove, shall be binding on all the parties hereto.

3.

All provisions of the Original Agreement, including all monitoring and evaluation requirements, shall be applicable to all amendments herein.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that the Agreement of January 28, 2003, be amended accordingly.
