AMENDMENT TO THE AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO

AND MEDQUIST TRANSCRIPTIONS, LTD.

 

THIS AGREEMENT, entered into this ____ day of ____ ___________, 2004, by and between the COUNTY OF SAN MATEO (hereinafter called "County") and MedQuist Transcriptions, Ltd. (hereinafter called "Contractor"),

 

W I T N E S S E T H:

 

WHEREAS, on June 19, 2001, the parties hereto entered into an agreement (hereinafter referred to as the "Original Agreement") for the furnishing of certain services by Contractor to County as set forth in that Original Agreement; subsequently amended on August 12, 2003; and

 

WHEREAS, it is now the mutual desire and intent of the parties hereto to amend and clarify that Original Agreement;

 
 

NOW, THEREFORE, IT IS HEREBY AGREED between the parties that the Original Agreement is amended as follows:

 
 

1.

Section 2, Payments, Paragraph A, Maximum Amount, of the Original Agreement is hereby amended to read as follows:

 
 

“2.

Payments

 
   

A.

Maximum Amount. In full consideration of Contractor's performance of the services described in Schedule A, the amount that County shall be obligated to pay for services rendered under this Agreement shall not exceed THREE MILLION EIGHT HUNDRED FIFTY-FOUR THOUSAND SIX HUNDRED TWENTY-TWO ($3,854,622) for the contract term.”

Schedule B is hereby amended as follows:

 

 

SCHEDULE B

PAYMENTS

 
   

I.

In consideration of the services described in paragraph I, above, Contractor shall be reimbursed as follows:

     

A.

$0.115 per 65 character line for services provided through

county's direct dial extensions through the county's

switchboard.

     

B.

In the event Contractor is required to install Contractor's own

outside telephone lines into San Mateo Medical Center

(SMMC), Contractor shall be reimbursed a $0.005 surcharge

in addition to the line rate described in subparagraph A,

above.

     

C.

Contractor agrees to provide billing breakdown by document

type. Invoices will be submitted weekly and paid within thirty

(30) days of submission.

 
   

II.

Upon SMMC’s migration to the Document Enterprise Platform (DEP) on the “Migration Effective Date”, which is expected to occur on or about August 1, 2004, the price that Contractor is currently charging SMMC for such services under the parties’ existing agreement shall be changed on a temporary basis to a per report price based on the attached document.

The per report price as set forth below shall remain in effect for a ninety (90) day period (the “Analysis Period”) following the Migration Effective Date during which period Client and Vendor will examine the volume and formatting of the reports to choose one of the following supportable units of measure: (i) Black Character, (ii) 65 Character ASCII Line or (iii) Standard Gross Line.

III.

The term of the agreement is May 1, 2001 through April 30, 2005. In no event shall total payment for services under this Agreement exceed THREE MILLION EIGHT HUNDRED FIFTY-FOUR THOUSAND SIX HUNDRED TWENTY-TWO DOLLARS ($3,854,622).

 
 
 

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that:

 
 

1.

These amendments are hereby incorporated and made a part of the Original Agreement and subject to all provisions therein.

 
 

2.

All provisions of the Original Agreement, including all references to audit and fiscal management requirements unless otherwise amended hereinabove, shall be binding on all the parties hereto.

 
 

3.

All provisions of the Original Agreement, including all monitoring and evaluation requirements, shall be applicable to all amendments herein.

 
 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that the Agreement of June 19, 2001, be amended accordingly.
