RESOLUTION AUTHORIZING THE EXECUTION OF A MONEY PURCHASE RETIREMENT PLAN AND TRUST AND AN AGREEMENT WITH ICMA RETIREMENT CORPORATION TO ADMINISTER A MONEY PURCHASE RETIREMENT PLAN BENEFIT

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance the ICMA Retirement Corporation Governmental Money Purchase Plan and Trust and the Adoption Agreement therefore (together, the "Plan"), the Declaration of Trust of the ICMA Retirement Trust (the "Trust") and an agreement with ICMA Retirement Corporation to administer the Plan (the "Agreement"); and

WHEREAS, the Board has been presented with the form of the Plan, the Trust and the Agreement and has examined and approved the Plan, the Trust and the Agreement as to both form and content and desires to enter into the Plan, the Trust and the Agreement;

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the County of San Mateo hereby executes said Plan , Trust and Agreement, and the President of the Board is authorized and directed to sign any and all documents necessary or appropriate to evidence said execution for and on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President's signature thereto.

IT IS FURTHER HEREBY DETERMINED AND ORDERED THAT the County of San Mateo is designated as Trustee under the Plan and is authorized to invest funds held under the Plan in the Vantage Trust Company.

IT IS FURTHER HEREBY DETERMINED AND ORDERED THAT the County Manager is authorized to take any necessary or appropriate action relating to the implementation and administration of said Plan, Trust and Agreement and the investment of assets held thereunder and to execute any documents in connection with such implementation and administration and any amendments thereto (including without limitation designation of participants in and contributions to the Plan).
