RESOLUTION (1) WAIVING THE REQUEST FOR PROPOSALS PROCESS

AND (2) AUTHORIZING AN AGREEMENT WITH THE ELECTRIC COMPANY

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, the best interests of the County of San Mateo would be served by waiver of the Request for Proposals, in that the analysis of the current system revealed it would be most cost effective to continue contracting with the Electric Company and maintain the County owned workstations and network connectivity as they are now installed than duplicate this technology with another vendor; and

WHEREAS, the parties wish to enter in to an Agreement, to provide medical transcription services, for the period December 1, 2004 to November 30, 2006, for a total obligation of $394,000;and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance, an Agreement between the County of San Mateo and The Electric Company, reference to which is hereby made for further particulars, and the Board of Supervisors has examined and approved the same as to form and content and desires to enter into the same.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.

BE IT FURTHER RESOLVED, that the Request for Proposal process is waived.
