RESOLUTION 1) AUTHORIZING THE EXECUTION OF AN AMENDMENT
TO THE AGREEMENT WITH UNILAB CORPORATION, NOW A PART OF
QUEST DIAGNOSTICS, INC. AND 2) AUTHORIZING THE CHIEF EXECUTIVE OFFICER OF SAN MATEO MEDICAL CENTER TO EXECUTE AMENDMENTS
NOT TO EXCEED $25,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that
|
|
WHEREAS, on August 5, 2003, the Board of Supervisors, by Resolution Number 66194, authorized an Agreement with Unilab Corporation, now a part of Quest Diagnostics, Inc., in the amount of $1,040,688 for the term March 1, 2003 to February 28, 2006, for the purpose of processing laboratory specimens referred by San Mateo Medical Center’s Laboratory; and

WHEREAS, all references to “Unilab Corporation, now a part of Quest Diagnostics” will be replaced with “Quest Diagnostics, Nichols Institute”; and
|
|
WHEREAS, due to the increase in the number of tests being referred to Quest Diagnostics, the maximum amount in the agreement has been exhausted; and
|
|
WHEREAS, the parties wish to amend the Agreement by increasing the amount by $550,000 changing the Agreement obligation from $1,040,688 to $1,590,688; and
|
|
WHEREAS, the Board has been presented with this Amendment and desires to enter into same.
|
|
NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors is hereby authorized and directed to execute said Amendment to the Agreement for and on behalf of the of the County of San Mateo; and the Clerk of this Board shall attest the President’s signature thereto.

IT IS HEREBY FURTHER RESOLVED, that the Chief Executive Officer of San Mateo Medical Center shall be authorized to execute subsequent amendments increasing the County’s maximum fiscal obligation, provided however, that such authority is limited to increasing the County’s maximum fiscal obligation to an amount not to exceed $25,000.
