Recommendation

Approve the assignment of United Linen Services, Inc., dba Golden State Services to Angelica Textile Services, Inc. and authorize the execution of an Amendment to the Agreement with Golden State Services.

Background
|
On June 29, 2004, your Board approved an Agreement with Golden State Services to provide linen and laundry management at San Mateo Medical Center (SMMC) and Burlingame Long Term Care. The maximum amount of the Agreement is $3,024,026 and the term of the Agreement is July 1, 2004 to June 30, 2007.

Discussion
|
On November 24, 2004, United Linen Services, Inc., dba Golden State Services, informed SMMC, in writing, that the company has entered into an agreement with Angelica Textile Services, Inc. Angelica Textile Services, Inc. will acquire all of their assets and business operations in Northern California. This merger was finalized on December 6, 2004.
Management and Customer service staff at Golden State facilities will continue in their existing capacities. Angelica Textile Services, Inc. will honor all existing customer contracts and anticipate no disruption or problems with services.
Your Board is being requested to approve the assignment and to authorize the execution of an Amendment to the Agreement replacing all references to “Golden State Services” to “Angelica Textile Services, Inc.”.
County Counsel and Risk Management have reviewed and approved this Amendment.

Fiscal Impact
|
The term of this Agreement, July 1, 2004 through June 30, 2007, remains the same. The maximum amount of the Agreement, $3,024,026, also remains the same. There is no fiscal impact associated with this Amendment.
