AMENDMENT TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
ALLIANCE IMAGING, INC.

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 2005, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Alliance Imaging, Inc., hereinafter called "Contractor";
|
|
|
W I T N E S S E T H:
|
|
|
WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;
|
|
|
WHEREAS, the parties entered into an Agreement for magnetic resonance imaging (MRI) services on October 7, 2003; and
|
|
|
WHEREAS, the parties wish to amend the Agreement to amend Exhibits A and B, to extend the term of the agreement by 18 months, and to increase the maximum amount by EIGHT HUNDRED FIFTY THOUSAND DOLLARS ($850,000).
|

|
NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:
|

Paragraph 3, Payments of the original agreement is amended to read as follows:
3. Payments.
In consideration of these services provided Contractor in accordance with all the terms, conditions and specifications set forth herein and in Exhibit “A”, County shall make payment to Contractor based on the rates and in the manner specified in Exhibit “B” in an amount not to exceed TWO MILLION FIVE HUNDRED FIFTY THOUSAND DOLLARS ($2,550,000).

Paragraph 4, Term and Termination, of the original agreement is amended to read as follows:
4. Term and Termination.
Subject to compliance with all terms and conditions, the term of this Agreement shall be October 15, 2003 to April 15, 2008.

Effective April 1, 2004, Item 1.2 Personnel, under EQUIPMENT AND SERVICES in Exhibit A of the Original Agreement is amended to read as in Attached Addendum “A”.

Effective April 1, 2004, Item 3 SCHEDULING in Exhibit “B” of the original Agreement, is amended to read as in Attached Addendum “A”.

Effective September 1, 2005, Item 1.2 Personnel, under EQUIPMENT AND SERVICES in Exhibit “A” of the original Agreement, is amended to read as in Attached Addendum “B”.

Effective September 1, 2005, Item 1 UNIT DESCRIPTION in Exhibit “B” of the original Agreement, is amended to read as in attached Addendum “B”.

|
7.
|
Effective September 1, 2005, Item 3 SCHEDULING in Exhibit “B” of the original Agreement, is amended to read as in attached Addendum “B”.

|
8.
|
Effective September 1, 2005, Item 4(a) Term Extension, is added to Exhibit “B” of the original Agreement, as in attached Addendum “B”.

|
9.
|
Schedule H, Health Insurance Portability and Accountability Act (HIPAA) Business Associate Requirements, of the original Agreement is replaced with the attached revised Schedule H.

|
|
10.
|
All other terms and conditions of the agreement dated October 7, 2003, between the County and Contractor shall remain in full force and effect.
