Amendment to the Agreement with Stanford University for Research Services Provided by the County

 

RECOMMENDATION:

Adopt a resolution:

A.

Authorizing an Amendment Number 8 to the Agreement with Stanford University for research services, amending the Agreement number; deleting Articles 3.b., “Invoices” and 3.e., “Completion Invoices”; amending Article 4, “Billing” and Article 24, “Communications”; and adding Articles 33, “Intellectual Property”, Article 34, “Export Controlled Information”, and Article 35, “Order of Precedence”.

B.

Authorizing the Chief Executive Officer of San Mateo Medical Center to execute subsequent amendments and minor modifications not to exceed $25,000 and to make minor changes in the type of services and activities provided under the Agreement

The Agreement contributes to these commitments and goals by providing patients with HIV/AIDS an opportunity to receive experimental therapies that otherwise may not be available to them. The Agreement also makes it possible for San Mateo

County to remain on the leading edge of clinical research in HIV/AIDS and for County employees and contractors to develop the necessary clinical skills to meet the challenges of treating patients with HIV/AIDS.

A maximum of 20% of San Mateo County’s HIV patients are enrolled in the ACTU studies. It is anticipated that 95% of these enrolled patients will complete the ACTU studies.

BACKGROUND:

On June 30, 1998, your Board approved an Agreement with Stanford University to accept funds to support research activities for clinical trials associated with Stanford’s ACTU at the Willow Clinic. The term of the Agreement was one year, from January 1, 1998 through December 31, 1998. The maximum amount of reimbursement was $53,544.

On October 20, 1998, your Board approved Amendment Number 1 to the original Agreement, which expanded the research sites to include the Edison Clinic and increased reimbursement from Stanford by $18,287, to $71, 831.

Collectively, your Board approved six more Amendments after Amendment

Number 1, which extended the term of the Agreement through December 31, 2005, and increased the maximum amount of reimbursement to $485,352.

 

DISCUSSION:

Participation with Stanford in clinical trials allows: a) patients with HIV/AIDS to receive experimental therapies that they otherwise may not be able to receive; b) the County to continue to remain on the leading edge of clinical research in HIV/AIDS; and c) County employees and contractors to develop the necessary clinical skills to meet the challenges of treating patients with HIV/AIDS.

Amendment No. 8 changes the agreement number from PR-0272 to PR-0272 -60250A. Amendment No. 8 deletes Article 3.b., “Invoices”, which requires San Mateo Medical Center to submit a monthly invoice to Stanford, and 3.e., “Completion Invoices”, which requires San Mateo Medical Center to submit a completion invoice within 60 calendar days after expiration of the Contract. Amendment No. 8 amends the following Articles:

1. Article 4, “Billing”, allows San Mateo Medical Center to submit quarterly invoices (January 15, April 15, July 15, and October 15) for costs incurred to date but not previously invoiced.

2. Article 24, “Communications”, lists the key personnel and contacts for the contract.

3. Article 33, “Intellectual Property”, allows SMMC to own the entire right, title, and interest including all patents, copyrights, and other intellectual property rights, in and to all tangible materials, inventions, works authorship, software, information and data solely conceived or developed by SMMC. Stanford will own the entire right, title, and interest, including all patents copyrights, and other intellectual property rights, in and to all tangible materials, inventions, works authorship, software, information and data solely conceived or developed by Stanford personnel and using Stanford facilities.

Amendment No. 8 adds the following Articles to the Agreement:

1. Article 34, “Export Controlled Information”, states that In the event that export controlled information is required to be provided by SMMC to Stanford, SMMC will inform Stanford in writing, directly to the Contract Grant Officer listed in Attachment D prior to the disclosure.

2. Article 35, “Order of Precedence”, states that in the event of any inconsistency among sections of this Agreement, the order of precedence shall be as follows: 1) the terms and conditions required to flow down from the prime award; 2) the terms and conditions of this Agreement.

 

FISCAL IMPACT:

The term of the Agreement, January 1, 1998 through December 31, 2005 remains the same. The reimbursement from Stanford University, $485,352, also remains the same. There is no fiscal impact associated with this Amendment.
