RESOLUTION A) AUTHORIZING ACCEPTANCE OF A GRANT AWARD FROM INTERMUNE, INC. TO CONDUCT A CLINICAL STUDY TO ASSESS THE SAFETY AND EFFECTIVENESS OF TWO DOSE LEVELS OF INTERFERON ALFACON-1 (INFERGEN®, CIFN) PLUS RIBAVIRIN ADMINISTERED FOR 48 WKS VS. NO TREATMENT IN HEPATITIS C INFECTED PATIENTS WHO ARE NON-RESPONDERS TO PREVIOUS PEGYLATED INTERFERON ALFA PLUS RIBAVIRIN THERAPY AND DURING AT LEAST 24 WEEKS OF NO TREATMENT IN IRHC-001 AND B) AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH INTERMUNE, INC. TO CONDUCT THE CLINICAL TRIAL

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Award, reference to which is hereby made for further particulars, whereby InterMune, Inc. will allocate funds in an amount not to exceed $113,535 for the provision of a research study for persons with HIV/AIDS; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement with InterMune, Inc. to conduct said clinical trial for the term February 3, 2005 to January 3, 2008, in an amount not to exceed $113,535; and

WHEREAS, this Board has been presented with a form of the Award and the Agreement has examined and approved both as to both form and content and desires to accept the award enter into the Agreement.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND that the President of this Board of Supervisors be, and is hereby authorized and directed to accept said award and execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.
