RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT WITH PICIS, INC. TO INSTALL AND MAINTAIN AN EMERGENCY DEPARTMENT INFORMATION SYSTEM (EDIS) IN AN AMOUNT NOT TO EXCEED $600,000, AND GRANTING SIGNATURE AUTHORITY TO THE CHIEF INFORMATION OFFICER TO EXECUTE SUBSEQUENT AMENDMENTS AND MINOR MODIFICATIONS IN AN AMOUNT NOT TO EXCEED $25,000.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement between the County and Picis, Inc. to install and maintain an Emergency Department Information System (EDIS) at San Mateo Medical Center (SMMC) for the period December 6, 2005 to December 6, 2009 with an amount not to exceed $600,000;

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer to execute subsequent amendments and minor modifications to this Agreement in an amount not to exceed $25,000; and

WHEREAS, this Board has been presented with a form of an Agreement and

said Board has examined and approved same as to both form and content and desires to enter into same;

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED

1) The President of the Board of Supervisors hereby is authorized and directed to execute said Agreement on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.

2) It is further resolved that the Chief Information Officer is hereby authorized to execute subsequent amendments and minor modifications to the Agreement in an amount not to exceed an aggregate of $25,000 for the term of the Agreement.
