BACKGROUND:
|
On June 21, 2005, this Board adopted Resolution No. 067392 authorizing the execution of an Agreement with Cognisa Security, Inc. to provide Countywide security services, for a three-year period commencing July 1, 2005 through June 30, 2008.
On August 31, 2005, U.S. Security Associates, Inc. acquired substantially all of Cognisa’s assets including the Agreement with the County. Cognisa and U.S. Security have requested approval of the assignment of the agreement from Cognisa to U.S. Security.

DISCUSSION:
|
On December 8, 2005, the Sheriff’s Office and U.S. Security Associates, Inc. met to review the terms and conditions set forth in the Agreement formerly with Cognisa. At the conclusion, the Sheriff’s Office determined that the proposed Assignee (U.S. Security Associates, Inc.) can satisfactorily perform the responsibilities specified in the Agreement.
Therefore, it is in the best interest of the County to approve the assignment of the Cognisa Security, Inc. Agreement to U.S. Security Associates, Inc., and to authorize the Sheriff to execute all documents required to approve the assignment for and on behalf of the County of San Mateo.
