RESOLUTION CONSENTING TO THE ASSIGNMENT OF THE COGNISA SECURITY, INC. AGREEMENT TO U.S. SECURITY ASSOCIATES, INC.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, on July 1, 2005, the County entered into an Agreement (Resolution No. 067392) with Cognisa Security, Inc., for a three-year period ending June 30, 2008, for provision of security services at various County facilities and service locations of the Medical Center, Health Services, Human Services, Courts, Coyote Point Marina, and Public Works agencies; and

WHEREAS, on August 31, 2005, U.S. Security Associates, Inc. acquired substantially all of the assets of Cognisa Security, Inc. including the Agreement with the County; and

WHEREAS, U.S. Security Associates, Inc. and Cognisa Security, Inc. have requested that the County of San Mateo approve the assignment of Cognisa’s rights and responsibilities to U.S. Security, and have provide assurance that U.S. Security Associates, Inc. satisfactorily perform the responsibilities described in the Agreement; and

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the County of San Mateo approves the assignment of the Agreement with Cognisa Security, Inc. to U.S. Security Associates, Inc. and shall be otherwise on the same terms and conditions as set forth in the Agreement; and

IT IS FURTHER ORDERED that the Sheriff’s Office shall be authorized to execute all documents required to approve the assignment for and on behalf of the County of San Mateo.
