AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND

MEDQUIST TRANSCRIPTIONS, LTD.

 

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 2006, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and MEDQUIST TRANSCRIPTIONS, LTD., hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for providing medical transcription services to San Mateo Medical Center on June 19, 2001, by Resolution No. 64536, subsequently amended on August 12, 2003, by Resolution No. 66225, on July 27, 2004, by Resolution 66845, and on July 26, 2005, by Resolution 67475; and

 

WHEREAS, the parties wish to further amend the Agreement to increase the maximum amount of the agreement by $350,000, to extend the term of the Agreement by three months, and to add Compliance with Contractor Employee Jury Service Ordinance language to the original Agreement.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Paragraph A, Maximum Amount in Section 2. Payments, of the original agreement is amended to read as follows:

   
 

A.

Maximum Amount. In full consideration of Contractor's performance of the services described in Schedule A, the amount that County shall be obligated to pay for services rendered under this Agreement shall not exceed FIVE MILLION SIX HUNDRED FOUR THOUSAND, SIX HUNDRED TWENTY-TWO DOLLARS ($5,604,622) for the contract term.

Section 12, Term of the Agreement, of the original agreement is amended to read as follows:

Term of the Agreement

Subject to compliance with the terms and conditions of this Agreement, the term of this Agreement shall be from May 1, 2001 through July 31, 2006. This Agreement may be terminated by Contractor, Chief Executive Officer of San Mateo Medical Center or her designee at any time upon thirty (30) days’ written notice to the other party.

Compliance with Contractor Employee Jury Service Ordinance language is added as part of Section 6. Non-Discrimination

   
 

Compliance with Contractor Employee Jury Service Ordinance. Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from the contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with the contractor or that the contractor deduct from the employees regular pay the fees received for jury service.

All other terms and conditions of the agreement dated June 19, 2001, including any subsequent amendments to this agreement between the County and Contractor, shall remain in full force and effect.
