FIRST AMENDMENT

AGREEMENT BETWEEN THE COUNTY OF SAN MATEO

AND THE CITY OF MILLBRAE

This First Amendment to the Agreement entered into on the 1st day of August 2005, by and between the COUNTY OF SAN MATEO, hereinafter called "COUNTY," and CITY OF MILLBRAE, hereinafter called "CITY."

W I T N E S S E T H :

WHEREAS, the parties previously entered into an Agreement on August 1, 2005 for provision of supplemental law enforcement services through the Sheriff’s Office; and

WHEREAS, it is now the mutual desire and intent of the parties to make further modifications and amendments to this Agreement by extending the term by eight (8) months, from October 31, 2005 to June 30, 2006, and increasing the contractual maximum by $95,001, from $99,999 to $195,000; and

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that the existing Agreement is hereby amended, by reference to Sections of the original Agreement and Exhibits as follows:

First paragraph of Section 3. Payments, of the Agreement is hereby amended to read as follows:

In consideration of the services provided by County in accordance with Exhibit A, City shall make payment to County based on the following rates. The City’s total fiscal obligation under this Agreement shall not exceed ONE HUNDRED NINETY-FIVE THOUSAND DOLLARS AND NO CENTS, ($195,000.00).

First sentence of Section 4. Term and Termination, of the Agreement is hereby amended to read as follows:

The term of this Agreement shall be from August 1, 2005 to June 30, 2006.

These amendments are hereby incorporated and made a part of the Original Agreement and subject to all provisions therein.
