AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
CROFT SYSTEMS

 

THIS AMENDMENT TO THE AGREEMENT, is entered into this 18th day of April, 2006, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Croft Systems, hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for consulting services on the Fair Labor Standards Act (FLSA) dated December 20, 2005; and

 

WHEREAS, the parties wish to amend the Agreement 18400-06-D110;

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

   

1.

Section 2 Contract Term of the Agreement is amended to read as follows:

The term of this Agreement shall be from December 19, 2005 to September 30, 2006 unless terminated earlier by the County.

   

2.

Section 3 Payments is added to the Agreement to read as follows:

In no event shall the total fiscal obligation for services under this Agreement exceed One Hundred Fifty Eight Thousand Six Hundred Thirty Dollars $158,630.

Section 18 Compliance with Contractor Employee Jury Service Ordinance is added to the Agreement to read as follows:

Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from Contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with Contractor or that Contractor deduct from the employee’s regular pay the fees received for jury service.

Original Exhibit A is amended to include the following verbiage:

    Deliverables:

    A) Programming/Development of on-going FLSA compliance:

    Working with County developers to make PIPS FLSA compliant by

    * Creating a test/development environment

    * Enabling vendor programmed FLSA routines

    * Customizing FLSA routines to meet County requirements as defined by Counsel and EPS

    * Testing the Customization

    * Promoting into Production

    B) Programming/Development of retroactive FLSA computation

    Working with County developers to make PIPS FLSA compliant by

    * Continuing in the test/development environment

    * Using customized FLSA routines to program for calculating past amounts due employees

    * Testing the calculations, verifying audit ability

    Executing in Production

* Supporting Controller's office with data for audit/review of individual earnings

C) Other Programming / Development of PIPS as required to remain compliant.

   

5.

All other terms and conditions of the Agreement dated December 20, 2005, between the County and Contractor shall remain in full force and effect.
