RESOLUTION AUTHORIZING EXECUTION

OF A SUPPLEMENTAL AGREEMENT WITH THE DEPARTMENT OF VETERANS AFFAIRS PALO ALTO HEALTH CARE SYSTEM

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance a Supplemental Agreement reference to which is hereby made for further particulars, whereby the Department of Veterans Affairs Palo Alto Health Care System (VAPAHCS) will provide space and resources for the Willow Clinic and the Methadone Treatment Program;

WHEREAS, the term of the current Sharing Agreement expired August 10, 2005. Negotiations are currently in progress for a new Agreement; and;

WHEREAS, the Supplemental Agreement serves as the renewal agreement for 12 months while a new Agreement is being negotiated; and

WHEREAS, rent will be billed at $50,794 per month, with a maximum of $609,528 for the twelve month term of the Agreement. The cost of Laboratory services is variable and will be capped at maximum amount of $75,000, an amount based on 2005-06 usage; and

WHEREAS, the parties wish to enter into a Supplemental Agreement for 12 months, from August 11, 2005 to August 10, 2006, at an amount not to exceed $684,528.

WHEREAS, this Board has been presented with a form of the Supplemental Agreement and has examined and approved it as to both form and content and desires to enter into the agreement.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.
