RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO

A) EXECUTE AN AGREEMENT WITH COMMUNITY DENTAL CARE, INC. IN THE AMOUNT OF $211,460 TO PROVIDE HIV DENTAL SERVICES FOR THE PERIOD OF MARCH 1, 2006 TO FEBRUARY 28, 2007, AND B) AUTHORIZING THE DIRECTOR OF THE HEALTH DEPARTMENT TO EXECUTE SUBSEQUENT AMENDMENTS AND MINOR MODIFICATIONS NOT TO EXCEED $25,000 AND TO MAKE MINOR CHANGES IN THE TYPES OF SERVICES AND ACTIVITIES PROVIDED UNDER THE AGREEMENT

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which is hereby made for further particulars, whereby Community Dental Care, Inc., shall provide dental services to HIV/AIDS clients of the San Mateo County AIDS Program; and

WHEREAS, the term of said Agreement is March 1, 2006 through February 28, 2007, and the maximum dollar amount is $211,460; and

WHEREAS, this Board has been presented with the Agreement and has examined and approved it as to both form and content and desires to enter into the Agreement.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the Board of Supervisors be, and is hereby authorized and directed to execute said Agreement with Community Dental Care, Inc., for an on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.

BE IT FURTHER RESOLVED, that the Director of the Health Department shall be authorized to execute subsequent amendments and minor modifications to this Agreement during the term of the Agreement, provided however, that such authority is limited to (a) reducing or increasing the County’s maximum fiscal obligation in the event that there is a commensurate reduction or increase funding received by the County, provided however, that such increases shall be limited to a total of $25,000; and (b) making changes in the types of services and activities provided by Community Dental Care, Inc. under the agreement, provided that the changes have no impact on the County’s maximum fiscal obligation to Community Dental, Inc. under the Agreement.
