AMENDMENT TO THE AGREEMENT BETWEEN

THE COUNTY OF SAN MATEO AND
SPHERE INSTITUTE

 

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________ , 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and SPHERE INSTITUTE, hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, it is necessary and desirable that Contractor be retained for the purpose of performing professional services for the Human Services Agency, Children and Family Services Division, hereinafter described, in connection with the development of an enhanced safety and risk assessment and management system for Child Welfare System.

 

WHEREAS, the parties entered into an Agreement on December 6, 2005 wherein Sphere Institute agreed to provide support for the Comprehensive Assessment Tool (CAT) implementation for the term of February 1, 2005 through June 30, 2006 for a maximum payment amount of $349,495; and

 

WHEREAS, the parties wish to amend the Agreement for for the purpose of extending the term of the Agreement to February 1, 2005 through December 31, 2006 to continue services for no additional funding obligation, and

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

   

1.

Exhibits A and C, are hereby deleted and replaced in their entirety with Exhibits A1 and C1, and Section 1 (Exhibits) shall be amended and replaced in its entirety to read as follows:

2.

Section 2 “Services to be performed by Contractor” is hereby amended and replaced in its entirety to read as follows:

In consideration of the payments set forth herein and in Exhibit B, Contractor shall perform services for County in accordance with the terms, conditions and specifications set forth herein and in Exhibit A1.

     
       

3.

Section 3 “Payments” is hereby amended and replaced in its entirety to read as follows:

   
 

In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit "A1," County shall make payment to Contractor based on the rates and in the manner specified in Exhibit "B." The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed THREE HUNDRED FORTY NINE THOUSAND FOUR HUNDRED NINETY FIVE DOLLARS, ($349,495).

   
       

4.

Section 11 “Non-Discrimination” is hereby amended to add paragraph G that shall read as follows:

   

G.

Compliance with Contractor Employee Jury Service Ordinance. Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from the contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with the contractor or that the contractor deduct from the employees regular pay the fees received for jury service.

   
       

5.

All other terms and conditions of the Agreement dated February 1, 2005 shall remain in full force and effect.

   
       

6.

This Amendment, including any exhibits attached hereto, constitutes the entire understanding of the parties hereto with respect to the amendment to the parties’ Agreement and correctly states the rights, duties, and obligations of each party as of this document’s date. Any understandings, promises, negotiations, or representations between the parties not expressly stated in this document are not binding. All subsequent modifications shall not be effective unless set forth in a writing executed by both parties.

Exhibit A1 – Program Description – Scope of Work is amended as follows:

A. Contractor will provide, to the satisfaction of the Director of Human Services Agency (HSA) or her designee, services in connection with the specified scope of work to develop an Evidence-Based Safety and Risk Assessment System for Contra Costa, Glenn, San Mateo and Stanislaus Counties.
