AMENDMENT #1 TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
PICIS, INC.

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Picis, Inc., hereinafter called "Contractor";
|

|
W I T N E S S E T H:
|
|
|
WHEREAS, pursuant to Government Code Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;
|
|
|
WHEREAS, the parties entered into an Agreement for License and Services to install and maintain the San Mateo Medical Center Emergency Department Information Systems; on December 6, 2005; and
|
|
|
WHEREAS, the parties wish to amend the Agreement to add Supplemental Software and Services Agreement #2 – ADT Software License and Fees, Supplemental Software and Services Agreement #3 – Exit-Writer, and Supplemental Software and Services Agreement #4 – End User Training.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 11 of the Supplemental Software and Services Agreement is amended as follows:
The maximum costs to Licensee for all Licensor Software Programs and Services provided under this Agreement, including all Exhibits, Supplements, and Schedules shall not exceed $652,500 unless mutually agreed by the parties. The parties will mutually determine, on a case-by-case basis, whether any future amendments will increase the cap or not change the cap set forth herein.

Section 14 Compliance with Contractor Employee Jury Service Ordinance is added to the Agreement to read as follows:

|
|
|
|
Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from Contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with Contractor or that Contractor deduct from the employee’s regular pay the fees received for jury service.

Amendment #1 is attached to the Agreement dated December 6, 2005 and includes Supplemental Software and Services Agreement #2 – ADT Software License and Fees, Supplemental Software and Services Agreement #3 – Exit-Writer, and Supplemental Software and Services Agreement #4 – End User Training.

All other terms and conditions of the Agreement dated December 6, 2005, between the County and Contractor shall remain in full force and effect.
