First Amendment to the Agreement with Telecare Transitions

 

RECOMMENDATION:

Adopt a resolution authorizing the execution of a First Amendment to the Agreement with Telecare Transitions increasing Telecare’s payment amount to the County by $200,000 for a total obligation of $300,000. This is a revenue generating Agreement that pays the County for the cost of meals catered to Telecare’s (the Contractor’s) residents by Vocational Rehabilitation Services. The term remains March 1, 2005 through February 28, 2007.

BACKGROUND:

In January 2004, Vocational Rehabilitation Services (VRS) was contacted by Telecare Transitions to discuss the possibility of using Catering Connection to deliver dinners for the residents of its facility. VRS and the Contractor discussed the possibilities of cost savings for the Contractor and its specific food needs. Pursuant to the Agreement, the County’s Catering Connection, which is currently located at the WorkCenter in San Carlos, prepares and delivers evening meals to the Contractor’s location in Menlo Park. Meals are provided seven (7) days per week. Weekend meals are prepared and delivered on Saturday. The County and the Contractor entered into Agreement on March 1, 2005 for the two year period from March 1, 2005 through February 28, 2007.

 

DISCUSSION:

This First Amendment increases the amount of the Agreement and updates meal prices for the second year of the Agreement. The cost for meals paid to Vocational Rehabilitation Services by the Contractor was estimated to be $100,000 for the first year, but exceeded the Agreement amount by almost $40,000.

 

This First Amendment adjusts the Agreement amount for the first year and adds $160,000 for the second year. In addition, this Amendment adds the jury duty ordinance language.

 

The Contractor has assured compliance with the County’s Contractor Employee Jury Service Ordinance, as well as all other contract provisions that are required by County ordinance and administrative memoranda, including but not limited to insurance, hold harmless, non-discrimination and equal benefits.

 

FISCAL IMPACT:

This is a revenue generating Agreement in the amount of $300,000 for the term of March 1, 2005 through February 28, 2007. For the second year of this Agreement beginning March 1, 2006, the Contractor shall pay the County $6.25 per meal with a minimum of 30 meals ordered. When ordering 29 or fewer meals, each meal will be charged at $8.25. The maximum payment to the County for the term of the Agreement shall not exceed $300,000 and is included in the FY 2006-07 tentatively Adopted Budget. There is no Net County Cost.
