RESOLUTION AUTHORIZING THE EXECUTION OF AMENDMENT III TO THE AGREEMENTS WITH A WARM EMBRACE; ADDUS HEALTHCARE, INC.; AMERICAN CAREQUEST, INC.; MEDICAL CARE PROFESSIONALS; AND NURSE PROVIDERS PLUS, INC. FOR HOME HEALTH AND ATTENDANT CARE SERVICES WITH NO CHANGE TO THE TERMS, INCREASING THE COLLECTIVE AMOUNT BY $970,000 FOR FY 2006-07 FOR A TOTAL OF $2,910,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, on September 14, 2004, the Board of Supervisors, by Resolution Number 66913, authorized Agreements with Addus HealthCare, Inc., American CareQuest, Inc., Medical Care Professionals, Nurse Providers Plus, Inc., and Nursing Resources in the collective amount of $950,000 for FY 2004-05 for the term of July 1, 2004 through June 30, 2007;

 

WHEREAS, on October 26, 2004, the Director of the Health Department authorized Agreement 57000-05-D014 with A Warm Embrace in the amount of $20,000 for the term October 15, 2004 through June 30, 2005;

 

WHEREAS, on September 13, 2005, the Board of Supervisors, by Resolution Number 67534, authorized Amendment I to the Agreements incorporating the Agreement with A Warm Embrace into the new Resolution, extending its term through June 30, 2007, and increasing the collective amount by $970,000 for FY 2005-06 to $1,940,000 for the term July 1, 2004 through June 30, 2007;

 

WHEREAS, Resolution Number 67534 also authorized the Director of the Health Department to execute subsequent amendments and minor modifications not to exceed an aggregate of $25,000 per Agreement, and to make minor changes in the types of services and activities provided under the Agreements;

 

WHEREAS, on April 13, 2006, the Director of the Health Department approved Amendment II to the Agreements, adding state required language regarding an appeals process and restrictions around lobbying and county required language regarding contractor employee jury service with no change to the amount or term of the Agreements;

 

WHEREAS, Nursing Resources could not comply with San Mateo County Risk Management’s insurance requirements and will not be renewed at this time;

 

WHEREAS, the parties now wish to further amend the Agreements by adding $970,000 for FY 2006-07 for a total collective amount of $2,910,000 with no change to the terms; and

 

WHEREAS, the Board has been presented with Amendment III to the Agreements, reference to which is hereby made for further particulars, and desires to enter into same:

 

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that Amendment III to the Agreements is hereby approved, and the President of this Board of Supervisors is hereby authorized and directed to execute the aforesaid Amendments for and on behalf of the County of San Mateo, and the Clerk of the Board shall attest the President’s signature thereto.
