AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
ONSITE DENTAL CARE FOUNDATION

 

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 2006, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and ONSITE DENTAL CARE FOUNDATION, hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for the purpose of providing dental care to homeless individuals within San Mateo County on December 13, 2005 by Resolution 67746 (the “Agreement”); and

 

WHEREAS, the parties wish to amend the Agreement to amend, in their entirety, Exhibits A and B thereto, increase the maximum amount payable thereunder by $113,035, extend the term of the Agreement by six months to April 30, 2007, and to add the Ordinance Code’s Jury Duty provisions to the Agreement.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Exhibits A and B of the original agreement are amended in their entirety and replaced with the revised attached Exhibits A and B, which are incorporated herein by reference.

   

2.

Section 3, Payments, of the Agreement is amended to read as follows:

Payments: In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and in Exhibit "A", County shall make payment to Contractor in the manner specified herein and in Exhibit "B". In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amount owed by the County at the time of contract termination. In no event shall total payment for services under this Agreement exceed THREE HUNDRED ELEVEN THOUSAND SIX HUNDRED TEN DOLLARS ($311,610).

First paragraph in Section 4, Term and Termination, of the original Agreement is amended to read as follows:

Subject to compliance with all terms and conditions, the term of this Agreement shall be from November 1, 2005 through April 30, 2007.

   

4.

Compliance with Contractor Employee Jury Service Ordinance language is added as part of the original Agreement.

   
 

Compliance with Contractor Employee Jury Service Ordinance. Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from the Contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with the Contractor or that the Contractor deduct from the employees regular pay the fees received for jury service.

   

5.

All other terms and conditions of the agreement dated December 13, 2005, between the County and Contractor shall remain in full force and effect.

Exhibit “A”

 

I.

For the period November 1, 2005 to October 31, 2006, Contractor shall provide full dental care to 455 homeless individuals living in shelters and/or on the street. Services include the following objectives:

 
 

Objective 1.

Contractor will provide 65 service days/visits at four (4) different locations (16-20 visits per location) within San Mateo County.

 
 

Objective 2.

Contractor will complete 16-20 patient appointments at each service day location completing a total of no less than 1040 patient appointment.

 
 

Objective 3.

Of the 1040 total patient appointments completed, 455 unduplicated homeless individuals will receive full, general dental treatment based on dental needs recommended by an affiliated dentist of Onsite Dental Care Foundation.

 

II.

For the period November 1, 2006 to April 30, 2007, Contractor shall provide full dental care to 250 homeless individuals living in shelters and/or on the street. Services include the following objectives:

 
 

Objective 1.

Contractor will provide 37 service days/visits at four (4) different locations (16-20 visits per location) within San Mateo County.

 
 

Objective 2.

Contractor will complete 16-20 patient appointments at each service day location completing a total of no less than 592 patient appointments.

 
 

Objective 3.

Of the 592 total patient appointments completed, 290 unduplicated homeless individuals will receive full, general dental treatment based on dental needs recommended by an affiliated dentist of Onsite Dental Care Foundation.

 

III.

Contractor shall attend and participate in the following related meetings and complete the following reporting requirements on a monthly basis:

 
 

A.

Submit Monthly Data Reports by the 10th day of each month.

 

B.

Submit Monthly Invoices by the 10th day of each month.

 

C.

Attend the monthly HCH Provider Meeting.

 

D.

Complete Annual Chart Review.

 

E.

Complete Annual Administrative Review.

 

F.

Participate in other Continuous Quality Improvement Activities

 

G.

Submit any other required documentation.

 

Exhibit “B”

In consideration of the services provided by Contractor in Exhibit “A”, County shall pay Contractor based on the following fee schedule:

 

A.

County shall pay Contractor $3,055 per dental service day not to exceed 65 service days for the period November 1, 2005 to October 31, 2006.

 

A.

County shall pay Contractor $3,055 per dental service day not to exceed 37 service days for the period November 1, 2006 to April 30, 2007.

   

C.

Contractor will invoice monthly. Invoices will be approved by the Health Care for the Homeless Program Director.

   

D.

The term of this Agreement is November 1, 2005 to April 30, 2007. Maximum payment for services provided under this Agreement will not exceed THREE HUNDRED ELEVEN THOUSAND SIX HUNDRED TEN DOLLARS ($311,610).
