BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION A) WAIVING THE REQUEST FOR PROPOSAL PROCESS; B) AUTHORIZING AN AMENDMENT TO THE AGREEMENT WITH JOHNSON CONTROLS, INC. TO PROVIDE CARDKEY SYSTEM SERVICES EXTENDING THE TERM TO JUNE 30, 2008, INCREASING THE AMOUNT BY $15,676, $3,135 NET COUNTY COST; AND C) AUTHORIZING THE DIRECTOR OF THE HUMAN SERVICES AGENCY OR THE DIRECTOR'S DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY'S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, The County and the Contractor entered into an Agreement for the term of February 1, 2006 through June 30, 2007 by Agreement Number 70100-06-C220 for the purpose of Cardkey System services; and

WHEREAS, the Board of Supervisors is being asked to waive the Request for Proposal Process as the Contractor should be considered a sole source provider since they are the only vendor that can provide service to the existing Cardkey System in the Bay Area; and

WHEREAS, the County and the Contractor wish to amend the Agreement to increase the amount by $15,676 for a total obligation of $115,676 and extend the term to June 30, 2008 to provide system upgrades at 2500 Middlefield Road in Redwood City and installs two (2) access control doors at 550 Quarry Road in San Carlos; and

WHEREAS, the Board is being requested to authorize the Human Services Agency Director or Designee to execute contract amendments which modify the County's maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions; and

WHEREAS, the Board of Supervisors determines it is in the best interest of the County to waive the Request for Proposal Process and has been presented with a form of such Agreement and said Board has examined and approved same as to both form and content and desires to enter into the same.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that

A) The Request For Proposal process is waived as pertains to the First Amendment; and

B) The President of this Board of Supervisors is hereby authorized and directed to execute said Amendment for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signature thereto.

C) The Director of the Human Services Agency hereby authorized to execute contract amendments which modify the County's maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
