RESOLUTION AUTHORIZING THE EXECUTION OF AN AMENDMENT TO THE AGREEMENT WITH WEBMEDX TO ADD TO THE SCOPE OF SERVICES UNDER THE AGREEMENT INSTALLATION AND MAINTENANCE OF AN ELECTRONIC SIGNATURE AUTHENTICATION (ESA) SYSTEM AT SAN MATEO MEDICAL CENTER (SMMC) AND TO INCREASE THE MAXIMUM AMOUNT PAYABLE UNDER THE AGREEMENT BY $80,000 TO A TOTAL OF $4,030,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, all medical transcriptions generated at San Mateo Medical Center (SMMC) are currently printed, sent to the dictating physician for review and signature, and filed in the corresponding patient paper chart, and this is labor intensive, has the potential to affect patient safety and SMMC revenue; and

WHEREAS, on June 2006, SMMC conducted a Request for Proposals for an Electronic Signature Software to replace the physical signature process currently in use at SMMC; and

WHEREAS, Webmedx’s proposal met SMMC’s standard for quality and offered the best price terms; and

WHEREAS, Webmedx is presently party to a contract with the County of San Mateo pursuant to which it provides, among other things, dictation and transcription services; and

WHEREAS, there has been presented to this Board for its consideration and approval an Amendment to the existing Agreement between WebMedx and the County of San Mateo, reference to which is hereby made for further particulars, whereby the scope of the existing Agreement shall be expanded to include installation and maintainance of an Electronic Signature Authentication system at SMMC and whereby the maximum amount payable under the Agreement shall be increased by $80,000 to a total of $4,030,000; and

WHEREAS, this Board has considered the Amendment to the Agreement and approved it as to both form and content and desires to enter into it.

NOW THEREFORE, IT IS HEREBY RESOLVED that the President of this Board of Supervisors be, and is hereby authorized and directed to execute said Amendment to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signature thereto.
