AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
DELOITTE CONSULTING LLP

 

THIS AMENDMENT TO THE AGREEMENT, is entered into this 6th day of February, 2007, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and DELOITTE CONSULTING LLP, hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

 

WHEREAS, the parties entered into an Agreement for consulting services on the Health Client Data Store (HCDS) dated June 27, 2006; and

 

WHEREAS, the parties wish to amend the Agreement 68102 to add $85,374 for continuing services; and extend the term to March 11, 2007.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

   

1.

Section 3 Payments of the Agreement, the last sentence, is amended to read as follows:

In no event shall the total fiscal obligation for services under this Agreement exceed SEVEN HUNDRED FIVE THOUSAND FIVE HUNDRED SEVENTY FOUR DOLLARS ($705,574).

Section 4 Term and Termination of the Agreement, the first sentence is amended to read as follows:

The term of this Agreement shall be from June 27, 2006 to March 11, 2007 unless terminated earlier by the County.

Section 1.0 Introduction of Exhibit A, the last sentence of the second paragraph is amended to read as follows:

Deloitte Consulting support included in the fixed price of $705,574 is for the level of effort described below.

Section 2.0 of Exhibit A Deloitte Consulting Project Team Activities, the last sentence, is amended to read as follows:

All resources will complete their activities on or before March 11, 2007.

Section 1 Payment Terms on Exhibit B – Payments and Rates is amended to add the following paragraph after the third bullet point:

    For the period from February 11, 2007 to March 11, 2007 , Deloitte Consulting will submit a final invoice not to exceed $85,374 based upon the planned level of effort described in Exhibit A. The final invoice will be payable upon completion of applicable services.

   

6.

Section 1 Payment Terms under Exhibit B – Payment and Rates, is amended to read as follows:

Except as may be agreed by written change order, the amount for the activities included in this statement of work will not exceed SEVEN HUNDRED FIVE THOUSAND FIVE HUNDRED SEVENTY FOUR DOLLARS ($705,574).

   

7.

All other terms and conditions of the Agreement dated June 27, 2006, between the County and Contractor shall remain in full force and effect.
