FIRST AMENDMENT

AGREEMENT BETWEEN THE COUNTY OF SAN MATEO
AND RJ LEE SOLUTIONS, LLC

THIS FIRST AMENDMENT to the existing Agreement, originally entered into on
December 6, 2005, is made and entered into this day of 2007 by and between the COUNTY OF SAN MATEO, hereinafter called "County," and RJ LEE SOLUTIONS, LLC, hereinafter called "Contractor."

W I T N E S S E T H :

WHEREAS, the parties previously entered into an Agreement [Resolution No. 67701] on December 6, 2005, for the purpose of technical development and software support services relating to the Laboratory Information Management System (LIMS) software; and

WHEREAS, it is now the mutual desire and intent of the parties to make further modifications and amendments to this Agreement extending the term six (6) months from December 31, 2006 to June 30, 2007;

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES that the existing Agreement is hereby amended, by reference to sections of the original Agreement and Exhibits as follows:

1.

Section 4, Term and Termination, of the Agreement is hereby amended to read as follows:

Subject to compliance with all terms and conditions, the term of this Agreement shall be from NOVEMBER 1, 2005 through JUNE 30, 2007.

Section 16 is hereby added to the Agreement as follows:

COMPLIANCE WITH CONTRACTOR EMPLOYEE JURY SERVICE ORDINANCE.

Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from the contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with the contractor or that the contractor deduct from the employees regular pay the fees received for jury service.

These amendments are hereby incorporated and made a part of the original Agreement and subject to all provisions therein.
