AMENDMENT TO AGREEMENT BETWEEN

COUNTY OF SAN MATEO AND JOHN L. MALTBIE

FOR SERVICES OF COUNTY MANAGER

THIS AMENDMENT TO AGREEMENT is entered into this ___________ day of ________________, 2007, between the COUNTY OF SAN MATEO (hereinafter referred to as “County”) and JOHN L. MALTBIE (hereinafter referred to as “County Manager”):

W I T N E S S E T H

WHEREAS, John L. Maltbie has been employed as County Manager since March 6, 1989 pursuant to a written contract which has been amended from time to time; and

WHEREAS, on November 15, 2005, the Board entered into an amended and restated agreement with John L. Maltbie to serve as County Manager; and,

WHEREAS, the agreement provides that the Board will conduct a performance evaluation on a yearly basis, and consider whether a merit increase in salary of up to five percent (5%) should be granted, and whether it should be paid retroactive to January 1 of the year in which the increase is given; and

WHEREAS, on February 13, 2007, the Board conducted a performance evaluation of the County Manager, and as a result, determined to award him a five percent (5%) raise, payable retroactively to January 1, 2007;

NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions as hereinafter set forth, the parties that the agreement entered into on November 15, 2005, shall be amended as follows:

Paragraph 3 of said agreement is amended to read as follows: “Commencing with the pay period beginning January 1, 2007, the annual salary of the County Manager, to be paid on a bi-weekly basis, shall be $9,610.40. The parties reserve the right to periodically increase this salary as may be mutually agreed.”

All other provisions of said agreement shall remain unchanged.
