BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

RESOLUTION:

1.

WAIVING THE REQUEST FOR PROPOSAL (RFP) PROCESS;

2.

AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AGREEMENT WITH JOHNSON CONTROLS, INC. FOR MAINTAINING AND SUPPORTING THE SECURITY SYSTEMS AT THE SAN MATEO MEDICAL CENTER AND RELATED HEALTH DEPARTMENT CAMPUS FACILITIES FOR A FIVE YEAR TERM COMMENCING APRIL 1, 2007 THROUGH MARCH 31, 2012 AND AN AMOUNT NOT TO EXCEED $410,232; AND

3.

AUTHORIZING THE SHERIFF TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY'S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that:

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which is hereby made for further particulars, whereby Johnson Controls, Inc. (JCI) shall provide maintenance and support of the security systems located at the SMMC and Health campus, for a five year term commencing April 1, 2007 through March 31, 2012, and an amount not to exceed $410,232; and

WHEREAS, since 2002, JCI has been providing installation, maintenance and support services for the security systems located throughout the SMMC and Health campus; and

WHEREAS, JCI has been the designated County security electronics system vendor for several years in which they were selected through an initial RFP process; and

WHEREAS, it is in the best interest of the County to waive the RFP process since the proprietary and patented nature of the existing equipment can only be supported and maintained by JCI; and

WHEREAS, this Board has been presented with a form of such Agreement, and has examined and approved same as to both form and content, and desires to enter into same:

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED THAT THE:

1.

Request for Proposal process is waived;

2.

President of this Board of Supervisors be, and is hereby authorized to execute the Agreement with Johnson Controls, Inc. for and on behalf of the County of San Mateo, and the Clerk of this Board of Supervisors shall attest the President’s signature thereto; and

3.

Sheriff shall be authorized to execute subsequent amendments and minor modifications not to exceed an aggregate of $25,000, and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
