RESOLUTION AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH TELESOFT CORPORATION TO PURCHASE AND INSTALL A TELEPHONE ACCOUNTING SYSTEM, PURCHASE A THREE-YEAR MAINTENANCE AGREEMENT, AND AUTHORIZING THE CHIEF INFORMATION OFFICER TO MAKE MINOR MODIFICATIONS NOT TO EXCEED $25,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, Telesoft Corporation and the County of San Mateo now wish to enter into an Agreement for the purchase and installation of a telephone accounting system in an amount not to exceed $311,341, installation to begin July 1, 2007 and will be completed no later than June 2008;

WHEREAS, Telesoft Corporation and the County of San Mateo now wish to enter into a three-year Maintenance Agreement, in an amount not to exceed $114,975, beginning either upon Project Close, or on the first day of the thirteenth month following the project kick-off meeting, whichever is earlier, and ending no later than June 30, 2012,

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer to execute subsequent amendments and minor modifications to the Telesoft Agreement, not to exceed $25,000; and

WHEREAS, this Board has been presented with a form of the Agreement, said Board has examined and approved same as to both form and content and desires to enter into same;

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED

That the President of the Board of Supervisors is authorized and directed to execute said Agreement as is approved by the County Counsel for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

That signature authority is granted to the Chief Information Officer to execute subsequent amendments and minor modifications in an amount not to exceed $25,000.
