SUBJECT:

Amendment to the Agreement with Neoforma, Inc.

 

RECOMMENDATION:

Adopt a Resolution authorizing an Amendment to the Agreement with Neoforma to authorize its assignment to Shellsoft, Inc. to provide a Materials Management information system to San Mateo Medical Center.

BACKGROUND:

On February 25, 2003, your Board approved an Agreement with Neoforma, Inc. to provide a materials management information system to San Mateo Medical Center (SMMC). The maximum amount payable thereunder is $385,000 and the term of the Agreement is February 28, 2003 to February 27, 2008.

 
 

DISCUSSION:

On January 29, 2007, Neoforma, Inc. informed SMMC that Neoforma, Inc. was being acquired by Shellsoft, Inc. and requested approval of assignment of the Agreement to Shellsoft, Inc.

Shellsoft, Inc. will honor all existing customer contracts and SMMC anticipates no disruption or problems with services.

Your Board is being requested to authorize the assignment of the Agreement to Shellsoft, Inc. The Amendment will also add language requiring the Contractor to comply with the County Ordinance Code’s Jury Duty compensation provisions.

County Counsel and Risk Management have reviewed and approved this Amendment.

The contractor has assured compliance with the County's Contractor Employee Jury Service Ordinance, as well as all other contract provisions that are required by County ordinance and administrative memoranda, including but not limited to insurance, hold harmless, non-discrimination and equal benefits.

FISCAL IMPACT:

There is no net County Cost associated with this Amendment. The term of the Agreement, February 28, 2003 to February 27, 2008, remains the same. The maximum amount payable thereunder of $385,000 also remains the same.
