Amendment to the Agreement with Williams Scotsman, Inc.

 

RECOMMENDATION:

Adopt a Resolution authorizing the execution of an Amendment to the Agreement with Williams Scotsman, Inc. for the lease of two portable modular buildings, increasing the maximum amount payable by $16,000 to $113,009 and extending the term of the Agreement to December 31, 2007.

BACKGROUND:

In December, 2000, the Purchasing Agent approved an agreement with Williams Scotsman, Inc. to lease two portable modular buildings located at 225 West 37th Avenue in San Mateo. The original term of the lease was for 36 months for total lease payments of $54,435. The lease payments included delivery, installation, building tie-downs, and skirting. Initially these two building housed two programs, the Medical Marijuana Program (MMJ) and the Health Information Technology Program (HIT) training site.

On May 25, 2004, a Change Order was approved by the Purchasing Agent to increase the maximum amount payable thereunder by $43,573.50 to a maximum amount payable of $97,009, and to extend the term of the Agreement to January 29, 2007.

The Clinical Trials and Research Program is presently housed in both of the modular buildings.

 

DISCUSSION:

Negotiations are currently underway to purchase the two buildings from the vendor. However, purchase negotiations are ongoing and in order to pay invoices received for continuing lease of the buildings, it is necessary to extend the term of the Agreement by twelve months to December 31, 2007, and increase the amount payable by $16,000 for a total maximum amount payable of $113,009.

The Agreement includes all provisions that are required by county ordinance and administrative memoranda, including, but not limited to, insurance, hold harmless, non-discrimination, equal benefits and jury service policy.

County Counsel has reviewed and approved the Amendment to this Agreement.

 

FISCAL IMPACT:

The Amendment increases the maximum amount payable under the Agreement by $16,000 including tax and extends the term of the Agreement by twelve months to December 31, 2007.

Funds are included in San Mateo Medical Center’s Adopted Budget for FY06-07 and FY07-08 Recommended Budget. Funds will be included in future year budget requests.
