RESOLUTION AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH INTEGRAL SYSTEMS INC., FOR PERSONNEL INFORMATION AND PAYROLL SYSTEM (PIPS) MIGRATION PROJECT PLANNING, IMPLEMENTATION OF THE MIGRATION, HOSTING SERVICES, AND AUTHORIZING THE CHIEF INFORMATION OFFICER TO MAKE MINOR MODIFICATIONS NOT TO EXCEED $25,000

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, Integral Systems, Inc. and the County of San Mateo now wish to enter into an Agreement for Personnel Information and Payroll System (PIPS) migration project planning, implementation of the migration, and hosting services for the term beginning September 11, 2007 and ending September 10, 2010, for a total amount not to exceed $938,340;

WHERAS, this Board has determined that it is in the best interest of the County to adopt the Resolution and waive the Request for Proposal process because an RFP was completed, but only one respondent (Integral) responded;

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer to execute subsequent amendments and minor modifications to the Integral Systems Agreement, not to exceed $25,000; and

WHEREAS, this Board has been presented with a form of the Agreement, said Board has examined and approved same as to both form and content and desires to enter into same;

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED

That the President of the Board of Supervisors is authorized and directed to execute said Agreement as is approved by the County Counsel for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

That signature authority is granted to the Chief Information Officer to execute subsequent amendments and minor modifications in an amount not to exceed $25,000.
