AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND

CALIFORNIA EMERGENCY PHYSICIANS

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and California Emergency Physicians, hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement, dated April 4, 2006 for the provision by Contractor of emergency room services at San Mateo Medical Center for the period of January 1, 2006 through December 31, 2006 (the “Agreement”); and

WHEREAS, the parties wish to amend the Agreement to include reimbursement for physician and physician assistant training hours on the Go Live electronic transcription system and to pay the administrative expense associated with arranging for the trainings;

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

I.

Schedule A, Services

IV Go Live training

Contractor shall participate in Go Live Emergency Department (ED) trainings to document ED services electronically.

2.

Schedule B, Rate of Payment

V Go Live training

1. Go Live training will be reimbursed at physician and physician assistant rates no higher than the clinical service rates in the Agreement.

2. Administrative expense will be reimbursed at no more than eight percent (8%) of physician and physician Go Live billed expense.

In no event shall Go Live training reimbursement exceed THIRTY TWO THOUSAND AND FIFTEEN DOLLARS ($32,015).

3.

The balance of the Agreement shall remain unchanged and in full force and effect. It is understood that the parties are currently renegotiating the contract for an additional period.
