RESOLUTION: A) WAIVING THE REQUEST FOR PROPOSAL (RFP) PROCESS B) AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH BIOPATHOLOGY SCIENCES MEDICAL CORPORATION, INC. TO PROVIDE ANATOMIC PATHOLOGY SLIDE PREPARATION AND ALL HISTOLOGY SERVICES FOR SURGICAL AND BIOPSY PROCEDURES PERFORMED AT SAN MATEO MEDICAL CENTER AND AFFILIATED CLINICS FOR THE TERM AUGUST 1, 2007 TO JULY, 31, 2008, IN AN AMOUNT PAYABLE NOT TO EXCEED $120,500 C) AUTHORIZING THE CHIEF EXECUTIVE OFFICER (CEO) OF SAN MATEO MEDICAL CENTER OR DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY'S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, Ordinance Code Section 2.92.050 authorizes the Board of Supervisors to waive the Request for Proposals process in any situation where the Board determines that the best interest of the County would be served without the necessity of formal proposals; and

WHEREAS, it is in the best interest of the County to waive the RFP process at this time because the San Mateo Medical Center (SMMC) laboratory is undergoing a reorganization and continuity of service will enable the laboratory to complete the reorganization which should result in a significant financial benefit for SMMC.

WHEREAS, the pathology slide preparation and histology services which were part of the contract between Peninsula Pathologists Medical Group, Inc. (PPMG) and SMMC, were provided by BioPathology Sciences Medical Group, Inc. (BPS); and

WHEREAS, SMMC requires the preparation of surgical specimens for microscopic examination by the pathologist; and

WHEREAS, SMMC wishes to provide uninterrupted service to the patients who require tissue preparations for examination and diagnosis; and

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which is hereby made for further particulars, whereby BPS shall provide anatomic pathology slide presentation and all histology services for all surgical and biopsy procedures for the period August 1, 2007 through July 31, 2008, for a total of $120,500; and

WHEREAS, this Board has considered the Agreement and approved it as to both form and content and desires to enter into it.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to waive the RFP process and to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signature thereto.

BE IT FURTHER RESOLVED that the Chief Executive Officer of San Mateo Medical Center shall be authorized to execute Amendments and minor modifications not to exceed $25,000 and to make minor changes in the type of services and activities provided under the Agreement.
