BOARD OF SUPERVISORS, COUNTY OF SAN MATEO, STATE OF CALIFORNIA

ADOPT A RESOLUTION AUTHORIZING THE PRESIDENT OF THE BOARD TO EXECUTE AN AMENDMENT TO THE AGREEMENT WITH PENINSULA PATHOLOGISTS MEDICAL GROUP (PPMG), INC. TO PROVIDE PROFESSIONAL MANAGEMENT, SUPERVISION, AND PHYSICIAN AND TECHNICIAN SERVICES IN CLINICAL AND ANATOMICAL PATHOLOGY, EXTENDING THE TERM BY FIVE MONTHS FROM AUGUST 1, 2007 THROUGH DECEMBER 31, 2007,

AND INCREASING THE AMOUNT BY $261,455 TO A MAXIMUM NOT TO EXCEED $1,793,179, AND AMENDING EXHIBITS A AND B IN THEIR ENTIRETY

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS San Mateo Medical Center (SMMC) requires professional services in the areas of clinical and anatomical pathology, and

WHEREAS, pursuant to Resolution 067352, dated June 7, 2005, your Board entered into an Agreement with Peninsula Pathologists Medical Group, Inc. (PPMG) to provide such services; and

WHEREAS, negotiations are underway for a new one-year contract with PPMG. As significant changes are being negotiated in specific areas of the contract, the negotiation process is more involved and will require more time; and

WHEREAS, extending the contract with PPMG is necessary to ensure uninterrupted service and continued payment of invoices; and

WHEREAS, the Exhibits A and B are being amended in their entirety due to modifications made to the Scope of Work; and

WHEREAS there has been presented to this Board of Supervisors for its consideration and acceptance an Amendment to the Agreement, reference to which is hereby made, whereby PPMG shall provide pathology services at and for SMMC for the period of April 1, 2005 through December 31, 2007, for an amount not to exceed $1,793,179; and

WHEREAS, this Board considered the Amendment to the Agreement and has approved it as to both form and content and desires to enter into it.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to execute said Amendment to the Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.
