RESOLUTION AUTHORIZING THE WAIVER OF THE REQUEST FOR PROPOSALS PROCESS, AUTHORIZING THE PRESIDENT OF THE BOARD OF SUPERVISORS TO EXECUTE AN AGREEMENT WITH CH MACK, INC. FOR THE ONGOING SUPPORT AND SYSTEM ENHANCEMENTS OF AN AUTOMATED CASE MANAGEMENT SYSTEM AND ASSESSMENT TOOL FOR THE TERM OF THREE (3) YEARS, COMMENCING UPON THE DATE OF THE BOARD OF SUPERVISORS’ APPROVAL, IN AN AMOUNT NOT TO EXCEED $832,850, AND AUTHORIZING THE CHIEF INFORMATION OFFICER OR HIS DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS, CH Mack, Inc. previously contracted with the County of San Mateo for the Q Case Management Software in September 2006. The contract included the development of the Uniform Assessment Tool for the Health Department’s Aging and Adult Services (AAS). In order to complete the Uniform Assessment Tool, provide sufficient funds, clarify other contractual details, implement safeguards, and assure continuity of operations, this Board has determined that it is in the best interest of the County to waive the RFP process, and hereby does so; and

WHEREAS, CH Mack, Inc. and the County of San Mateo now wish to enter into an Agreement for ongoing support and system enhancements of an Automated Case Management System and Assessment Tool, for the term of three (3) years, commencing upon the date of the Board of Supervisors’ approval, in the amount not to exceed $832,850; and

WHEREAS, this Board has been requested to grant signature authority to the Chief Information Officer or his designee to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the Contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions; and

WHEREAS, this Board has been presented with a form of the authorization, said Board has examined and approved same as to both form and content and desires to enter into same.

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the

President of the Board of Supervisors is authorized and directed to waive the Request of Proposals process and execute said Agreement as is approved by the County Counsel for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto.

That signature authority is granted to the Chief Information Officer to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the Contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
