RESOLUTION 1)AUTHORIZING THE EXECUTION AN AGREEMENT WITH CALIFORNIA ADVANCED IMAGING MEDICAL ASSOCIATES, INC. TO PROVIDE PROFESSIONAL RADIOLOGY AND OTHER DIAGNOSTIC IMAGING SERVICES FOR THE TERM JANUARY 1, 2008 THROUGH DECEMBER 31, 2009 FOR A MAXIMUM AMOUNT PAYABLE NOT TO EXCEED $3,900,000 AND 2) AUTHORIZING THE CHIEF EXECUTIVE OFFICER (CEO) OR HIS DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY'S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE), AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

WHEREAS San Mateo Medical Center (SMMC) requires professional services in the areas of Radiology and other diagnostic imaging services; and

WHEREAS California Advanced Imaging Medical Associates (CAIMA) is one of the few contract Radiology services on the Peninsula and provides services to all the hospitals on the Peninsula that do not have existing in-house Radiology staff; and

WHEREAS CAIMA has provided management, supervision and physician services for Radiology to SMMC for many years; and

WHEREAS, the County has determined that California Advanced Imaging Medical Associates, Inc. (CAIMA) possesses the skills and abilities necessary to provide Radiology and other diagnostic imaging services to SMMC; and

WHEREAS there has been presented to this Board of Supervisors for its consideration and acceptance an Agreement, reference to which is hereby made, whereby CAIMA shall provide Radiology and other diagnostic imaging services to SMMC, and for SMMC, at other SMMC sites for the period of January 1, 2008 through December 31, 2009, for a total amount not to exceed $3,900,000; and

WHEREAS, this Board considered the Agreement and has approved it as to both form and content and desires to enter into it.

NOW, THEREFORE, IT IS HEREBY RESOLVED that the President of the Board of Supervisors be, and is hereby authorized and directed to execute said Agreement for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signatures thereto.

IT IS HEREBY FURTHER RESOLVED that the Chief Executive Officer (CEO) of San Mateo Medical Center shall be authorized to execute contract amendments to which modify the County's maximum fiscal obligation by no more than $25,000 (in aggregate), and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
