RESOLUTION AUTHORIZING THE EXECUTION OF AN AMENDMENT TO THE AGREEMENT WITH BIOPATHOLOGY SCIENCES MEDICAL CORPORATION, INC. AUTHORIZING ITS ASSIGNMENT TO CURELINE BIOPATHOLOGY, LLC

WHEREAS, on November 6, 2007, this Board, by Resolution Number 69100, authorized an Agreement with BioPathology Sciences Medical Corporation, Inc. to provide anatomic pathology slide preparation and all histology services for surgical and biopsy procedures performed at San Mateo Medical Center (SMMC) and affiliated clinics; and

WHEREAS, on December 27, 2007, Cureline Biopathology, LLC (Cureline) informed SMMC, in writing, that it has assumed all of the obligations, liabilities and responsibilities of Biopathology Sciences Medical Corporation, Inc. (BPS) related to human tissue processing; and

WHEREAS, Cureline has requested that the County’s Agreement with BPS be amended to authorize its assignment to Cureline; and

WHEREAS, This Board has determined that it is in the best interest of the County for the Agreement to be amended to authorize its assignment to Cureline; and

WHEREAS, this Board has been presented with a form of the Assignment and Amendment and has examined and approved it as to both form and content and desires to enter into it.

NOW THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be, and is hereby authorized and directed to approve the Assignment and Amendment and to execute it for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President's signature thereto.
