SECOND AMENDMENT TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
HFS CONSULTANTS

 

THIS SECOND AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 2008, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and HFS CONSULTANTS hereinafter called "Contractor";

 

W I T N E S S E T H:

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof; and

 

WHEREAS, the parties entered into an Agreement for the purpose of providing SMMC with an Interim Laboratory Manager on July 10, 2007, by Resolution 068861; and

 

WHEREAS, the Agreement was amended on September 25, 2007 by Resolution No. 069038 to increase the maximum amount payable thereunder by $150,000 and to extend the term of the Agreement by six months to March 31, 2008; and

 

WHEREAS, the parties wish to further amend the Agreement to increase the maximum amount payable thereunder by an additional $150,000 and to extend the term of the Agreement by seven and one half months to November 15, 2008.

 
 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Section 3, Payments, of the Agreement is amended to read as follows:

   
 

3. Payments

 

In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibit "A," County shall make payment to Contractor based on the rates and in the manner specified in Exhibit "B." The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed FOUR HUNDRED FIFTY THOUSAND DOLLARS ($450,000).

First paragraph in Section 4, Term and Termination, of the original Agreement is amended to read as follows:

   
 

Subject to compliance with all terms and conditions, the term of this Agreement shall be from April 1, 2007 through November 15, 2008.

   

3.

All other terms and conditions of the agreement dated July 10, 2007 between the County and Contractor shall remain in full force and effect.
