FOURTH AMENDMENT TO AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
CHRISTOPHER A. JOSEPH & ASSOCIATES

 
 

THIS FOURTH AMENDMENT TO THE AGREEMENT, entered into this ______ day of ______________, 20___, by and between the COUNTY OF SAN MATEO, hereinafter called “County,” and Christopher A. Joseph & Associates, hereinafter called “Contractor.”

 

W I T N E S S E T H

 

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any department thereof; and

 

WHEREAS, the parties entered into an Agreement for environmental consulting services for the preparation of Draft and Final Environmental Impact Reports (EIR) for the Ascension Heights Subdivision project on June 16, 2003 (the “Agreement”); and

 

WHEREAS, on July 1, 2004, this Agreement was amended for the first time to extend the term to June 30, 2005; and

 

WHEREAS, on July 1, 2005, this Agreement was amended for the second time to extend the term to June 15, 2006; and

 

WHEREAS, on June 16, 2006, this Agreement was amended for the third time to extend the term to June 30, 2007; and

 

WHEREAS, the parties wish to amend the Agreement for a fourth time to increase the maximum amount payable thereunder by $47,665 from $93,816 to $141,481 and extend the term to June 30, 2009.

 

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

Paragraph 2 of the Agreement is amended in its entirety to read as follows:

   
 

Contract Term The term of this Agreement shall be from June 16, 2003 to June 30, 2009, unless terminated earlier by the County.

Paragraph 3 of the Agreement is amended in its entirety to read as follows:

   
 

Payments In consideration of the services provided by Contractor in accordance with all terms, conditions and specifications set forth herein and in Exhibits “A,” “B” and “C,” County shall make payment to Contractor as specified herein and in Exhibits “A,” “B” and “C.” In the event that the County makes any advance payments, Contractor agrees to refund any amounts in excess of the amount owed by the County at the time of contract termination. The County reserves the right to withhold payment if the County determines that the quantity or quality of the work performed is unacceptable. In no event shall the County’s total fiscal obligation under this Agreement exceed One Hundred Forty-One Thousand and Four Hundred Eighty-One Dollars ($141,481).

Paragraph 16 is added to the Agreement as follows:

   
 

Compliance with Contractor Employee Jury Service Ordinance Contractor shall comply with the County Ordinance with respect to provision of jury duty pay to employees and have and adhere to a written policy that provides that its employees shall receive from the contractor, on an annual basis, no less than five days of regular pay for actual jury service in San Mateo County. The policy may provide that employees deposit any fees received for such jury service with the contractor or that the contractor deduct from the employees regular pay the fees received for jury service.

A new Exhibit C, a copy of which is attached hereto and incorporated by reference into the Agreement, is added to the Agreement, which exhibit includes an added Scope of Work and Cost Amendment Table.

   

5.

All other terms and conditions of the Agreement dated June 16, 2003 between the County and Contractor shall remain in full force and effect.
