RESOLUTION: 1.) AUTHORIZING A THIRD AMENDMENT TO THE AGREEMENT WITH HEALTH MANAGEMENT ASSOCIATES, EXTENDING THE TERM OF THIS AGREEMENT TO OCTOBER 15, 2008, INCREASING THE MAXIMUM AMOUNT PAYABLE THEREUNDER BY $88,000 FROM $510,074 TO A TOTAL OF $598,074, AND EXPANDING THE SCOPE OF WORK TO INCLUDE CONSULTATION ON OPERATIONAL CHANGES AIMED AT ACHIEVING OPTIMAL STAFFING OF AMBULATORY AND INPATIENT SERVICES AT SAN MATEO MEDICAL CENTER; AND 2.) AUTHORIZING THE COUNTY MANAGER TO EXECUTE SUBSEQUENT AMENDMENTS AND MINOR MODIFICATIONS NOT TO EXCEED AN AGGREGATE OF $25,000 AND TO MAKE MINOR CHANGES IN THE TYPES OF SERVICES AND ACTIVITIES PROVIDED UNDER THE AGREEMENT.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that

 

WHEREAS, on June 11, 2007, the County entered into an Agreement with Health Management Associates (HMA) for the purpose of reviewing the County’s internal financial analysis of gain and loss by service line at the San Mateo Medical Center (SMMC), and preparing five year projections of financial performance, assuming no changes to the configuration of services at SMMC, the clinics and long-term care facilities, hereinafter, the “Agreement”, with agreement termination date of August 31, 2007, in the amount of $55,115; and

 

WHEREAS, the County executed an Amendment to the Agreement extending its term to June 30, 2008; and increasing the maximum amount payable thereunder by $244,584 to $299,699 to cover costs associated with the development of various options for the delivery of healthcare to medically indigent residents; and

 

WHEREAS, the County executed a Second Amendment to the Agreement with HMA, extending the term to August 15, 2008; and increasing the maximum amount payable thereunder by $210,375 to $510,074, and extending HMA’s scope of work to include the provision of intensive consultation and assistance to the County to implement operational changes and to develop a more comprehensive and collaborative network with private healthcare providers; and

 

WHEREAS, there has been presented to this Board of Supervisors for its consideration and acceptance a Third Amendment to the Agreement extending the term of the Agreement to October 15, 2008, and increasing the maximum amount payable thereunder by $88,000, to $598,074, and expanding HMA’s scope of work to include consultation on operational changes aimed at achieving optimal staffing of ambulatory and inpatient services at SMMC; and

 

WHEREAS, this Board has considered the proposed Third Amendment to the Agreement as to both form and content and desires to enter into it.

 

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors is directed to execute the Third Amendment to the Agreement for and on behalf of San Mateo County, and the Clerk of the Board shall attest to the President’s signature thereto; and

 

BE IT FURTHER RESOLVED, that the County Manager is hereby authorized to execute subsequent amendments and minor modifications not to exceed an aggregate of $25,000 and to make minor changes in the type of services and activities provided under the Agreement.
