First Amendment to the Agreement with U.S. Security Associates, Inc.

 

RECOMMENDATION:

Adopt a resolution:

1.

Waiving the Request for Proposal (RFP) process, and

2.

Authorizing execution of the First Amendment to the Agreement with U.S. Security Associates, Inc. increasing the amount of the contract by $7,970,926, from $10,505,402 to $18,476,328, and extending the term two years to June 20, 2010.

The Amendment to the agreement helps enhance public safety by helping ensure the safety and protection of visitors, citizens, and County clients, jurors, patients and customers of County facilities.

BACKGROUND:

In February 2005, an RFP for security guard services was issued. A mandatory pre-proposal meeting was held and 14 firms attended. Seven proposals were eventually received.

U.S. Security Associates, Inc. (formerly Cognisa) was selected on the basis of expertise in health care and hospital environments, experience at major carrier airports, ability to recruit and staff all job sites with trained, responsible personnel on an on-going basis, responsive management staff, modern, flexible invoicing system, and a reasonableness of proposed billing rates.

On June 21, 2005, the County entered into a three-year agreement (Resolution No. 67392) with U.S. Security Associates, Inc. (formerly Cognisa Security, Inc.) in an amount not to exceed $10,505,402 for security services at all 16 County and Court facilities utilizing security guard services.

The Agreement contains a renewal option for an additional period of two-years (24 months) as well as a rate increase by the lesser of five percent (5%) per annum or the Bay Area Cost of Living Index, All Urban Consumers. The intent of the renewal option was that if the County was satisfied with the contractor’s services, and both parties mutually concur, the County could exercise the option to extend the Agreement for an additional two-year period.

   

DISCUSSION:

The amendment will extend the term of the contract two years to June 30, 2010 and increase the amount not to exceed by $3,920,770 for FY 2008-09 and $4,050,156 for FY 2009-10, revising the agreement’s amount not to exceed from $10,505,402 to $18,476,328.

The Contractor has provided satisfactory service at the 16 locations across the County where security services are in place, including 7x24 coverage at San Mateo Medical Center, and it is recommended that the County exercise the contractual option to extend the Agreement for the specified two-year period.

Based on the Contractor’s expertise in health care and hospital environments, their ability to recruit and staff all job sites with trained, responsible personnel on an on-going basis, responsiveness of management staff and reasonableness of billing rates, it is in the County’s best interest to waive the RFP process.

County Counsel has reviewed and approved the resolution and amendment as to form.

 

FISCAL IMPACT:

The amendment will increase the contract’s not to exceed amount by $7,970,926. The 3.3% per annum increase is based on the Bay Area Cost of Living Index, All Urban Consumers.

Funding for individual department annual security costs is contained within each department’s respective Recommended FY 2008-09 Budgets. In most cases, the costs are either paid 100% from non-General Fund sources (e.g. Trial Courts, Marina, Airport, Hospital Enterprise Funds), or are partially or fully subvented by outside revenues (all HSA sites, branch Mental Health sites).There is no additional net County cost incurred by approval of this Amendment.
