AMENDMENT TO AGREEMENT

BETWEEN THE COUNTY OF SAN MATEO AND
EAR, NOSE, AND THROAT GROUP OF SAN MATEO

THIS AMENDMENT TO THE AGREEMENT, entered into this _____ day of _______________, 20_____, by and between the COUNTY OF SAN MATEO, hereinafter called "County," and Ear, Nose, and Throat Group of San Mateo hereinafter called "Contractor";

W I T N E S S E T H:

WHEREAS, pursuant to Government Code, Section 31000, County may contract with independent contractors for the furnishing of such services to or for County or any Department thereof;

WHEREAS, the parties entered into an Agreement for Ear, Nose, and Throat Medical services on May 23, 2006; and

WHEREAS, the parties wish to amend the Agreement to extend the term from April 1, 2006 to March 31, 2008 to the new term of April 1, 2006 to September 30, 2008, and increasing the maximum amount payable thereunder by $154,001.32 from $623,673.68 to $777,675.

NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES HERETO AS FOLLOWS:

1.

Section 3.1, Term, of the Agreement is hereby amended in its entirety to read as follows:

This Agreement shall commence on April 1, 2006, and shall continue for two years, six months. Unless sooner terminated, this Agreement shall expire and be of no further force and effect as of the end of business on the 30^th day of September, 2008.

Original Exhibit “A” is replaced in its entirety with Revised Exhibit “A”, (revised April 11, 2008,) attached hereto and incorporated herein by reference.

3.

Original Exhibit “B” is replaced in its entirety with Revised Exhibit “B”, (revised April 11, 2008) attached hereto and incorporated herein by reference.

4.

All other terms and conditions of the agreement dated May 23, 2006, between the County and Contractor shall remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto, by their duly authorized representatives, have affixed their hands.
