RESOLUTION WAIVING THE REQUEST FOR PROPOSAL PROCESS; AUTHORIZING THE EXECUTION OF AMENDMENT NO. 2 TO THE AGREEMENT WITH SHELLSOFT, INC. TO PROVIDE MATERIALS MANAGEMENT INFORMATION SYSTEM MAINTENANCE AND SUPPORT AT THE SAN MATEO MEDICAL CENTER INCREASING THE NOT TO EXCEED AMOUNT BY $97,536, FOR A NEW TOTAL OBLIGATION OF $482,536; EXTENDING THE AGREEMENT THROUGH JUNE 30, 2009; AUTHORIZING THE PURCHASING AGENT TO PURCHASE ONGOING MAINTENANCE AND SUPPORT FOR THIS SYSTEM; AND AUTHORIZING THE CHIEF INFORMATION OFFICER OR HIS DESIGNEE TO EXECUTE CONTRACT AMENDMENTS WHICH MODIFY THE COUNTY’S MAXIMUM FISCAL OBLIGATION BY NO MORE THAN $25,000 (IN AGGREGATE) AND/OR MODIFY THE CONTRACT TERM AND/OR SERVICES SO LONG AS THE MODIFIED TERM OR SERVICES IS/ARE WITHIN THE CURRENT OR REVISED FISCAL PROVISIONS.

RESOLVED, by the Board of Supervisors of the County of San Mateo, State of California, that:

WHEREAS, on February 25, 2003, the Board of Supervisors, by Resolution Number 065835, approved an Agreement with Neoforma for the implementation of San Mateo Medical Center’s (SMMC) Materials Management Information System in the amount of $385,000, for the term of February 28, 2003 through February 29, 2008; and

WHEREAS, on January 29, 2007, the County was notified that ShellSoft, Inc. acquired Neoforma and the Board of Supervisors, by Resolution Number 068867, approved an Amendment to the Agreement to reflect the change in ownership; and

WHEREAS, this Board has determined that it is in the best interest of the County to waive the Request for Proposal process; and

WHEREAS, this Board having considered the matter, has determined that it would be in the best interest of the County to approve an Amendment to the Agreement to increase the not to exceed amount by $97,536, for a new total obligation of $482,536, and extend the term to June 30, 2009; and

WHEREAS, this Board has been requested to grant authority to the Purchasing Agent to purchase ongoing maintenance and support for this system pursuant to the terms of the amended agreement; and

WHEREAS, this Board has been requested to authorize the Chief Information Officer or his designee to execute contract Amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate) and/or modify the contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions; and

WHEREAS, this Board has been presented with a form of the Amendment and has examined and approved it as to both form and content and desires to enter into same;

NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the President of this Board of Supervisors be and is hereby authorized and directed to waive the Request for Proposals (RFP) process for this system as being in the best interest of the County and execute the Amendment as is approved by the County Counsel for and on behalf of the County of San Mateo, and the Clerk of this Board shall attest the President’s signature thereto; and

BE IT FURTHER RESOLVED that the President of this Board of Supervisors authorizes the County Purchasing Agent to purchase ongoing maintenance and support of the Materials Management Information System pursuant to the terms of the amended agreement; and

BE IT FURTHER RESOLVED that signature authority is granted to the Chief Information Officer to execute contract amendments which modify the County’s maximum fiscal obligation by no more than $25,000 (in aggregate) and/or modify the Contract term and/or services so long as the modified term or services is/are within the current or revised fiscal provisions.
